1. Agreement to these Terms

These Terms and Conditions ("Terms") are a legal agreement between you and [LEGAL ENTITY NAME] ("Elite Prospect Media," "we," "us," or "our") governing your access to and use of eliteprospectmedia.com, the athlete dashboard, and all related services, content, and media production offerings (collectively, the "Services").

By creating an account, purchasing a plan, submitting video, or otherwise using the Services, you confirm that you have read and agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility and accounts for minors

The Services are designed for youth athletes and their families. Because many of our users are under the age of 18, the following rules apply and are not optional:

• If you are under 18, you may not create an account, purchase a plan, or submit content on your own. A parent or legal guardian must create and control the account.
• The parent or legal guardian is the account holder, is responsible for all activity under the account, and is the party agreeing to these Terms on behalf of the athlete.
• We do not knowingly permit children under 13 to create accounts. Accounts involving athletes under 13 must be established and managed by a parent or legal guardian who provides verifiable consent as described in our Privacy Policy.
• By registering an athlete, you represent that you are that athlete's parent or legal guardian, or that you have written authorization from the parent or legal guardian to act on their behalf.

We may request documentation verifying guardianship or authorization at any time, and may suspend an account pending verification.

3. Your account

You agree to provide accurate, current information when registering and to keep it updated. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at [SUPPORT EMAIL] if you believe your account has been accessed without authorization.

4. Description of the Services

Elite Prospect Media produces highlight videos and recruiting content for youth athletes. Depending on the plan you select, the Services may include video editing and production, a hosted athlete profile, distribution of finished content, and optional publishing to social media accounts you connect. Specific deliverables, quotas, and turnaround expectations are described on our Pricing page and in your plan.

5. Plans, billing, and cancellation

• Subscriptions. Paid plans are billed on a recurring basis at the interval shown at checkout. Prices are stated in U.S. dollars and exclude applicable taxes.
• Automatic renewal. Your plan renews automatically at the end of each billing period at the then-current rate until you cancel. By subscribing, you authorize us and our payment processor to charge your payment method on each renewal date.
• Cancellation. You may cancel at any time from your account dashboard or by contacting [SUPPORT EMAIL]. Cancellation takes effect at the end of the current billing period. You retain access to plan features through that date.
• Refunds. [REFUND POLICY — e.g., "Fees already paid are non-refundable except where required by law" or state your specific window and conditions.] Because production work is customized and begins promptly, fees allocable to work already performed are not refundable.
• Payment failures. If a charge fails, we may retry it and may suspend Services until payment is resolved.

6. Video submissions and production

Plans include a defined number of video submissions per billing period (your "quota"). Unused submissions [do not / do] carry over to the next period. We may decline to process a submission that is unusable, corrupted, of insufficient quality, exceeds stated file limits, or violates these Terms. Turnaround times we publish are estimates, not guarantees, and may be affected by submission volume, footage quality, and seasonal demand.

7. Content you submit

"Your Content" means the game film, photographs, athlete information, statistics, biographical details, logos, and other materials you upload or provide.

You retain ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, edit, adapt, encode, create derivative works from, publicly display, publicly perform, and distribute Your Content for the purpose of providing the Services, and — where you have granted the permissions described in Section 9 — for promoting Elite Prospect Media.

This license continues for as long as Your Content remains on the Services and for a reasonable period afterward to allow removal from caches, backups, and third-party platforms where content was distributed at your direction.

8. Your representations about footage rights

This section is important. Game film is frequently recorded, owned, or licensed by parties other than the athlete or family — including schools, leagues, clubs, tournament organizers, broadcasters, and third-party filming services. By submitting footage you represent and warrant that:

• You own Your Content or have obtained all rights, licenses, consents, and permissions necessary to grant the license in Section 7;
• Your Content does not infringe any copyright, trademark, publicity right, privacy right, contract, or other right of any third party;
• You have obtained consent from any identifiable individual appearing in Your Content, or from that individual's parent or guardian if they are a minor, to the extent such consent is required;
• Your Content does not violate any school, league, club, or governing-body policy applicable to you.

You are solely responsible for verifying these rights. If we receive a credible claim that submitted footage infringes a third party's rights, we may remove it and may suspend the account.

9. Name, image, and likeness

To produce and deliver the Services, you grant us permission to use the athlete's name, image, likeness, voice, jersey number, statistics, position, graduation year, and athletic accomplishments in the content we create and in the athlete's hosted profile.

Separately, and only where you have opted in, you grant us permission to use the athlete's name, image, and likeness in Elite Prospect Media marketing, portfolio, website, and social media materials. You may withdraw marketing permission at any time by contacting [SUPPORT EMAIL]; withdrawal applies going forward and does not require us to recall materials already distributed or printed.

Nothing in these Terms is intended to create, transfer, or interfere with any name, image, and likeness (NIL) agreement between the athlete and a third party, and nothing here should be read as advice about NIL rules or eligibility. Athletes and families are responsible for confirming that participation in the Services complies with the rules of their school, league, state athletic association, and any collegiate governing body such as the NCAA, NAIA, or NJCAA.

10. Public athlete profiles

Certain plans include a publicly accessible athlete profile that may display the athlete's name, sport, position, graduation year, highlight video, and accomplishments. You choose what to include. Public profiles are indexable by search engines and viewable by anyone with the link.

Consider carefully what information you make public about a minor. We recommend omitting home address, school schedule, precise location, phone number, and any other detail that could compromise the athlete's safety. You may request that a profile be set to private or removed at any time by contacting [SUPPORT EMAIL].

11. Connected social media accounts

You may optionally connect third-party social media accounts so that we can publish finished content on your behalf. By connecting an account you authorize us and our publishing provider to post content to it as directed by you or your plan.

• You must own or be authorized to control any account you connect. If the account belongs to a minor, the parent or guardian must be the one connecting it.
• Your use of each platform remains governed by that platform's own terms, including its minimum age requirements. Many platforms require users to be at least 13 and some require more. You are responsible for compliance.
• You may disconnect any account at any time from your dashboard. Disconnecting stops future publishing but does not delete content already posted; you can remove that content directly on the platform.
• We are not responsible for platform outages, algorithm changes, content removals, account restrictions, or actions taken by the platform.

12. Acceptable use

You agree not to:

• Upload content that is unlawful, defamatory, harassing, hateful, sexually explicit, or that exploits or endangers a minor;
• Submit footage of an athlete without the required consent, or impersonate another person or misrepresent your relationship to an athlete;
• Submit falsified statistics, credentials, or accomplishments;
• Interfere with, probe, or attempt to gain unauthorized access to the Services or any related systems;
• Scrape, harvest, or bulk-collect athlete information from the Services;
• Resell, sublicense, or commercially redistribute the Services or finished content except as expressly permitted;
• Use the Services in any way that violates applicable law or any school, league, or governing-body rule.

13. Our intellectual property

The Services, including our website, software, templates, graphic packages, motion design, brand names, and logos, are owned by us or our licensors and are protected by intellectual property law. Finished deliverables are licensed to you for personal and recruiting use — including sharing with coaches, recruiters, schools, and on social media. Our underlying templates, graphics, and production assets are not transferred to you.

14. Third-party services

The Services rely on third-party providers for hosting, membership management, payment processing, video processing, and social publishing. Your use of the Services may be subject to those providers' terms. We are not responsible for their acts, omissions, or availability.

15. No guarantee of recruiting outcomes

We produce media and exposure tools. We do not guarantee that any athlete will be recruited, receive an offer, receive a scholarship, be contacted by a coach, achieve any level of visibility, or reach any particular engagement metric. Any examples, testimonials, or results shown on our site are individual experiences and are not promises of similar outcomes.

16. Suspension and termination

You may stop using the Services at any time and may cancel your plan as described in Section 5. We may suspend or terminate your account, with or without notice, if you materially breach these Terms, if we are required to do so by law, if your payment method fails, or if we reasonably believe continued access poses a risk to the Services or to another person — including a minor's safety.

On termination, your license to use finished deliverables already delivered to you continues, but your hosted profile and access to the dashboard end. We may retain or delete Your Content as described in our Privacy Policy.

17. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that stored content will never be lost. You are responsible for maintaining your own copies of original footage.

18. Limitation of liability

To the fullest extent permitted by law, neither we nor our officers, employees, contractors, or suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost recruiting opportunities, lost data, or loss of goodwill, arising out of or relating to the Services, whether based in contract, tort, or any other theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid us in the [NUMBER] months preceding the event giving rise to the claim, or (b) [DOLLAR AMOUNT].

Some jurisdictions do not allow certain limitations of liability or exclusions of warranty, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify, defend, and hold harmless Elite Prospect Media and its officers, employees, and contractors from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to Your Content, your breach of these Terms, your breach of the representations in Section 8, or your violation of any law or third-party right.

20. Dispute resolution
